What is a Certificate of Good Standing?

A Certificate of Good Standing, Certificate of Existence or Certificate of Authorization are all names for the same document issued by the Secretary of State as conclusive evidence of the existence of the Corporation or LLC, that it has complied with the applicable provisions of the laws and is authorized to transact business in the state. The good standing status signifies an entity is current with the filing requirements of the secretary of stateís office, as well as being current with the entityís corporate franchise taxes.

The Certificate of Good Standing generally states the corporation's or LLCís name that it is officially incorporated or organized if an LLC, and that the entity is authorized to transact business in that state. Some states certificates also reflect that all fees, taxes and/or any applicable penalties owed the state have been paid, and that the companyís most recent annual or biannual report has been filed with the Secretary of State. Certificates of Good Standing are generally good for 60-90 days.

Upon request the Office of the Secretary of State will issue an original Certificate of Good Standing. The original Certificate of Good Standing bears the Seal of the Department of State and the signature of the State officer (Secretary of State, Deputy Secretary of State, State Treasurer).

Obtain a Certificate of Good Standing.

To obtain a Certificate of Good Standing, a corporation, LLC, or partnership must be: (1) registered as a legal entity and (2) in full compliance with the corporate rules and current on all its Secretary of State and Franchise Tax Board filings.

When is a Certificate of Good Standing required / Who Needs a Certificate of Good Standing?

1. If you are filing a Certificate of Authority to do business in another state, the state will normally require the Good Standing Certificate evidence you existence in the home state, as well that the business entity is in good standing and that you abide by the rules of that jurisdiction.

2. Opening a new bank account. Your bank may request this document to verify the validity of the company and protect itself from fraud.

3. If you are filing an application to obtain credit / loan on behalf of the business entity.

4. If you are involved in a legal action the court want you to prove your entity is in good standing with the State.

5. Potential business partners or investors.

6. Before signing a large contract, a company may be asked to present a Certificate of Good Standing.

What Does a Certificate of Good Standing Look Like?

A Certificate of Good Standing will generally have the name of the entity, a small paragraph stating that the entity is authorized to do business in that jurisdiction and depending on the jurisdiction that it is obtained from, it might also be on special decorative paper or have a decorative embossed seal of some kind on it.
